The Telefónica O2 Europe group comprises integrated fixed/mobile businesses in the UK, Ireland, Germany, the Czech Republic and Slovakia - all of which use 'O2' as their consumer brand.
Telefónica O2 Europe also owns 50% of the Tesco Mobile joint venture business in the UK and Ireland, as well as, the Tchibo Mobilfunk joint venture in Germany. In addition, the group includes the Isle of Man fixed/mobile operator, Manx Telecom.
We have more than 41 million fixed and mobile customers across Europe and 29,000 employees across the Group.
In 2007, the company reported a 9.9% growth and revenues of over 14 billion Euros.
Group data revenue of 3.5 billion Euros, with non-SMS data revenue of 680 million Euros in 2007. Over 8 billion SMS messages sent during the quarter - 16% growth year-on-year.
Going forward, O2 will continue to simultaneously announce its results in its territories with Telefónica's quarterly reporting cycle.
O2's latest key performance data is for the fourth quarter, the three month period to 31 December 2007.
Telefónica S.A.
Telefónica is one of the largest telecommunications companies in the world in terms of market capitalisation. Its activities are centered mainly on fixed and mobile telephony, with broadband as the key tool for the development of both.
The company has a significant presence in 23 countries and a customer base of more than 212 million worldwide.
Telefónica is a 100% listed company, with in excess of 1.5 million direct shareholders. Its share capital currently comprises 4,921,130,397 ordinary shares traded on the Spanish Stock Market (Madrid, Barcelona, Bilbao and Valencia) and on those in London, Paris, Frankfurt, Tokyo, New York, Lima, Buenos Aires and São Paulo.
On 7 August Telefónica O2 Slovakia, a wholly owned subsidiary of Telefónica O2 Czech Republic, was awarded a 20 year licence to operate GSM and UMTS networks in Slovakia. This new operation is an organic expansion of the existing business in the Czech Republic and will take advantage of synergies in areas such as network and back office functions. Juraj Sedivy, former CFO of the Czech Republic business, has been appointed as CEO. The Slovak business will use the O2 brand. The commercial service launched on 2 February 2007.
O2 has one of the most active customer bases for data and content in Europe. More than 40% of 41 million customers of O2's businesses in the UK, Germany, Ireland and Telefónica O2 Czech Republic are using data services on a regular basis.
Data services revenue - which includes text and other messaging services (e.g. email and picture messaging), as well as services such as music, content downloads and information services - now accounts for 30% of O2 UK's service revenue and 27% across the UK, Germany and Ireland.

O2 continues to maintain its strong position in the market for mobile data products and with the iPhone- the fastest-ever selling product for O2 UK - the company has a clear differentiation.
Additionally, O2 has built a strong customer base for mobile Internet services through its O2 Active service. O2 Active is a branded, icon-driven menu that offers customers a simple means to access and navigate a growing range of mobile data and multimedia services such as picture messaging, games, video clips, chat, web browsing and information services.
Several O2 branded devices have been launched successfully during the past year, including the Cocoon. In addition, the O2 XDA range has been updated, with the launch of the XDA Orbit and Stellar.
O2 and Telefónica
On October 31, 2005, it was announced that the Spanish-based telecommunications group Telefónica S.A. made a cash offer to acquire O2. The O2 Board decided to recommend the offer at 200p in cash for each O2 share, valuing O2 at approximately £17.7 billion.
It was announced on Monday, January 23, by Telefónica S.A. that it has acquired more than 75% of the voting rights attaching to O2 plc shares and that its Offer to acquire O2 had gone unconditional in all respects.
The enlarged company will build on O2's track record of operational delivery, the strength of its brand, and the momentum it has established in all its markets. It brings together two strong, successful, growth-orientated companies, and creates a new, strong pan-European/global telecoms player. The combined entity is second largest global wireless operator outside of China, in terms of active subscribers with more than 203 million mobile customers. In addition, the combined group is also be the world's 2nd most valuable telecom operator with an enterprise value of €120 billion.

Matthew Key joined O2 UK in February 2002 as Chief Financial Officer before becoming CEO on 1 February 2005. During his time as CFO, he was responsible for the company's financial performance, strategy, business development and regulatory functions. Over the past three years, he has overseen a turnaround of the business, as the company has significantly outperformed the market and all of its competitors. O2 is now the UK's largest operator by revenues and customer numbers. In 2007, the company launched, in conjunction with AEG, The O2 - which is on course to be the world's most popular venue by the end of the year - and became Apple's exclusive UK partner for iPhone. Matthew was also instrumental in the creation of Tesco mobile, the 50:50 joint venture between O2 and Tesco.
Matthew came to O2 from Vodafone, where he had worked within the retail and network divisions, before becoming Finance Director of Vodafone UK. Prior to joining Vodafone, he held various financial roles at other major companies including Coca-Cola and Schweppes, Grand Metropolitan and Kingfisher. Matthew qualified as a Chartered Accountant with Arthur Young in London in 1987.
Following the announcement of senior management changes on 29 November 2007, Mr. Key became Chairman and Chief Executive of O2 and also joined the Board of Telefónica, S.A. as an Executive Director.
Pilar, (36), is a Business Studies graduate. She joined Telefónica after working for several years at JP Morgan in London and New York where she worked her way up to Vice President. Pilar joined the Telefónica Group in 1999 in Telefónica de España's Strategic Planning Department. In May 2000 she was appointed Director of Management Control at Telefónica SA. Two years later, in 2002, she joined Telefónica Móviles S.A. to head up this company's Management Control function. In October 2006 she was promoted to Director of Strategy and Business Development at Telefónica España.
